Ken Fuller, VK4KF, appointed WIA Company Secretary

Ken Fuller, VK4KF, has recently been appointed Company Secretary to the WIA.

Ken's background is in Engineering and Administration . Ken has agreed to take the position on a short term basis following the passing of Chris Jones, the previous secretary.

The WIA Company Secretary is the servant of the Board. The duties of the secretary are in general what the Board decrees but there are some core duties for which the secretary will be held responsible by shareholders/members and Government. The core responsibilities of a Company Secretary are formal responsibilities as required by the Australian Securities Investment Commission (ASIC) and include:

Core responsibilities
The principal tasks of the WIA company secretary is to support the Board of Directors and oversee the various governance functions of the WIA.

 The secretary has the following core tasks:
 Section 188 suggests the functions of company secretaries as:
 To maintain a registered office (s142)
 If a public company, to keep the registered office open to the public during certain hours (s145)
 Lodge notices regarding personal details of directors and secretaries with ASIC (s205B)
 To respond to ASIC questions (s346C)
 To notify ASIC of a change to the principal place of business (s146) and any issue of shares (s254X)
 To lodge financials with ASIC if required (s319).

In practice the tasks of a Company Secretary also often include:

Managing Board Processes.: Develop and circulate Board papers. Organize and attend meetings of the Board of Directors and major meetings with members, including arranging venues, sending out notices, preparing agendas and compiling minutes.

 Ensure that the necessary registers and records as required are established and properly maintained, viz;
 Board records including minutes and decisions
 Register of Membership
 Exercise the degree of diligence and care that is reasonable and required by Corporations Law and current practice.
 Provide advice to directors regarding their regulatory and statutory requirements
 Ensuring compliance with the constitution.
 Oversight the development and implementation of the annual operating plan and strategic plans. Evaluate and report on business performance and achievement of targets and milestones.
