Under s250N of the Corporations Act 2001 (the Act) the AGM of the Wireless Institute of Australia is due to be held by 31 May 2020 unless the time is extended.
The 2020 Annual General Meeting was to have been held in conjunction with the Annual Conference in Hobart Tasmania earlier this month. Notice of the AGM was published in the January / February edition of AR magazine. The Conference was cancelled due to government restrictions on gatherings and travel due to CoVID-19.
It was not known how long the restrictions on travel or gatherings would be in place and accordingly the Board of the WIA passed a motion to defer the AGM to a date to be determined, but not later than 30 November 2020 and a formal application was made to ASIC for an extension of time to hold the AGM.
Under section 250P of the Corporations Act, ASIC may extend the period within which section 250N of the Act requires a company to hold its AGM. After considering the information contained in our application, ASIC has granted an extension for the period within which the Company must hold its AGM for the 2020 calendar year from 31 May 2020 to 31 July 2020.
The Board of the WIA have determined that the AGM will now be held on Saturday 25th July 2020.
The format of the Annual General Meeting is yet to be determined and will be subject to limitations on gatherings at that time. The agenda for the AGM will issue shortly.
